23 Jun 2025 New Annual Report Requirement for Pennsylvania Businesses in 2025
New compliance rules will be introduced if your business is registered in Pennsylvania. Beginning in 2025, the Commonwealth of Pennsylvania will require most domestic and foreign business entities to file Annual Reports. Whether you’re a nonprofit, LLC, corporation, or partnership, now is the time to prepare.
Here’s what you need to know:
Who’s Required to File?
Most entities registered in Pennsylvania must file, including:
- Domestic business & nonprofit corporations
- Domestic LLCs and professional associations
- Domestic LPs, LLPs, and electing partnerships
- Domestic business trusts
- All foreign associations registered to do business in Pennsylvania
Exempt: Sole proprietorships and general partnerships are not required to file.
Filing Fees:
- $7 for most businesses (LLCs, LPs, LLPs, corporations)
- No fee for nonprofits or not-for-profit LPs/LLCs
Key Deadlines by Entity Type
Corporations (For-Profit & Nonprofit): June 30, 2025
LLCs: September 30, 2025
LPs, LLPs, Business Trusts, Professional Associations: December 31, 2025
How to File
You have two filing options:
- Online (Preferred): File directly through the PA Department of State’s portal: file.dos.pa.gov
- By Mail: Paper forms are accepted. Mailing details are provided on the Department’s website.
You’ll Need:
- Entity name and number (from PA Dept. of State)
- Formation jurisdiction
- Registered and principal office addresses
- Name of at least one governor (director/member/partner)
- Names and titles of principal officers (if any)
Penalties & Grace Period
- 2025 & 2026: No penalties for non-filing, allowing businesses time to adjust.
- Starting 2027: Failure to file may lead to administrative dissolution or revocation.
